Notice of Special Meeting
Greetings!
House Board is in the midst of updating and amending the KKG Alumni Building Association's Constitution and Bylaws and the Articles of Incorporation to conform with current law.
The Articles of Incorporation were last amended and filed with the Montana Secretary of State in 1956 when we changed from a shareholder corporation to a membership corporation. In addition, we are not able to locate a current set of signed Constitution and Bylaws.
Article VIII, Amendments, of the unsigned Bylaws provides that: "These Articles may be amended or suspended by a two-thirds vote of the members of this Corporation present and voting provided written notice has been given in advance."
Article IV, Section 3, states, "Notice of the time and place of all meetings shall be mailed by the Secretary of the Board of Trustees to all members residing within the vicinity of Missoula to the last known address at least one week before such meeting."
In addition to providing notice to all members within the vicinity of Missoula, we are taking advantage of our large email list to notify members nationally. We will also post the Notice of Special Meeting and this explanation on our KKG website.
The meeting will be held on Wednesday, December 16, 2009, at 7 p.m., at the Kappa House, 1005 Gerald Avenue, Missoula, Montana. At the November 2009 House Board meeting, the officers voted to proceed with the 501(c)(3) application of the KKG Alumni Building Association to the IRS which, if granted, will offer significant tax relief, as well as the ability for fundraising donations to be tax-deductible.
It is imperative that this application be filed before year-end. Attorney Dan Cederberg and Walt Kero, CPA, are preparing the updated Articles, Bylaws and the 501(c)(3) application.
In the alternative, we are also investigating, via letter, whether the IRS would view deeding of the Kappa house to the J.R. Toole Home Preservation Society, Ltd., to constitute a "significant change," which would then require a review of that 501(c)(3) status.
We will keep you posted as we move forward.
Loyally,
Julie M. Lake

If you would like to connect with Kappa, we invite you to become a member of the Missoula Area Alumnae Association. As a member, you will receive our newsletters, invitations to association and interest group events, our Membership Directory, the opportunity to strengthen your leadership skills as a member of the Beta Phi Advisory Board or House Board or as an officer of the association. Even if you feel you don’t have time to participate in the association events, simply becoming a member of the association is a chance to give back to Kappa. Kappa—for a lifetime!
-
Too busy? Of course. But, even busy complicated lives need a little break from their regular routine. Kappa offers close, intergenerational friendships that connect us from our college days to the end of our lives.
-
I don’t know anyone! Come to one event and you will. Our association has a wide variety of activities that offer you a chance to make new friends and network with a group of talented women.
-
What’s in it for me? Friendship certainly. But, if doing something different in the community is important to you consider connecting with Missoula and Bitterroot Kappas. We offer a chance to be involved with philanthropy. Or, if working with our local chapter appeals to you, there are always opportunities to serve as an adviser or house board member at the Beta Phi chapter (U of M).
-
I was never active in my chapter. I don’t even remember what my chapter was called. Don’t worry! There’s never a quiz and we can look up your chapter information for you. We have great fun sharing stories…”at my chapter we did it this way…” and love meeting other Kappas.
Interest Groups
Missoula debuted the Night Owls Group. We are always interested in adding new groups. Would you like to chair an interest group related to your favorite hobby? Just make a note on your Dues Form and we will get the word out. Some possible group ideas: bunko, mom/tot group, lunch bunch, culinary Kappas, book club—the options are endless!
